Our Banking & Finance team has extensive experience working on banking and finance matters in Vietnam, Asia, as well as Europe, and Australia. We have in-depth knowledge of the complexities of the local market, as well as our clients’ businesses, and use this expertise to assist our clients in achieving their objectives. Our team regularly provides advice to global investment banking and securities firms, government institutions, finance leasing companies, credit institutions, and foreign and local banks.

A sampling of our highlight matters in this area includes:

  • Acting for Vietnam’s first-ever digital banking platform in Vietnam in relation to its legal and commercial transition from one licensed banking partner to another.
  • Acting as lead local counsel for a major regional development credit institution in relation to the financing and refinancing of a 350MWp capacity utility-scale solar power project in Tay Ninh Province and a 257MWp utility-scale solar power project in Phu Yen Province.
  • Acting as local lenders’ counsel in the US$2.75 billion financing of Nghi Son 2 1200MW coal-fired power generation project. The deal, which involved two ECAs and was undertaken to an international limited recourse finance standard, was recently awarded the South East Asia Project Finance Deal of the Year at the Asian Legal Business Awards in Singapore.
  • Acting on the buy-side in a 100% share acquisition of two leading companies in the non-ferrous metal (copper, aluminum, plastic) and electric wire and cable business in Vietnam by one of the biggest Thai investors. Also acting for the buyer in the acquisition financing transaction (grated by syndicated offshore and onshore loans).
  • Advising one of the world’s largest steel producers with respect to the possibility of granting a loan to its subsidiary Vietnamese affiliate, including but not limited to governmental approvals and filings in order to provide the loan to the Vietnamese subsidiary.
  • Acting for one of the most successful foreign-owned providers of digital services in Vietnam in conducting a comprehensively detailed review of its business model as a provider of a digital consumer finance platform in Vietnam.
  • Acting as adviser to an international financial institution in its financing of a hotel in Hanoi, a dairy plant in Song Be province, a steel project in Dong Nai province, and a port in Baria Vung Tau province as well as a sugar plant project.
  • Acting for a leading Australian automotive aftermarket and water products company in relation to the subscription in two companies by way of conversion of outstanding loan notes, together with a partial cash injection.
  • Assisting an international financial institution in relation to the proposed assignment of debt under a loan from the client to a local commercial bank in Vietnam, from the restructuring of the current debt to the negotiation of the legal structure for the loan assignment and drafting of relevant transaction documents.
  • Advising international financial institutions on the restructuring and transfer of loans extended by the lenders to the owner of the first wholly-owned foreign-owned international hospital in Ho Chi Minh City.
