Frasers has substantial experience working on infrastructure development and financing projects, especially power generation, telecoms, ports, and water treatment projects and build-operate-transfer projects (BOT). Moreover, the firm has a dedicated energy practice group that skillfully combines specialist expertise in the regulatory framework for the energy sector, with knowledge of the industry structure and players in Vietnam. We are also experienced in clean development mechanisms (CDM) and certified emission reductions (CER) transactions and have been extremely involved in the fledgling stages of Vietnam’s foray into public-private partnership (PPP) initiatives.
A sampling of our highlight matters in this area includes:
- Advising our client, a listed, PI-centric, South East Asian Energy Company, in relation to constructing, installing, and operating a rooftop solar system for the purposes of selling the energy generated from such system to the roof owner.
- Providing our client, a Japanese trading house, with comprehensively detailed structuring and project implementation advice in relation to its entry into a joint venture project with three listed companies in Vietnam. The project is being developed for the purposes of engaging in agriculture, animal husbandry, and the distribution of related products.
- Acting in relation to a complex joint venture in which our client is 49/51 partners in an incorporated joint venture to construct a greenfield freeze-dried soluble coffee plant with an annual capacity of c.5,600MTpa in an industrial park in Binh Duong province, Vietnam.
- Acting as sole counsel for a Belgian mineral and metal extraction company on a project development with a joint venture Vietnamese partner in Quang Nam, Vietnam, focusing on silica mining and manufacturing.
- Acting for a leading Thai energy company in relation to the development by its IPP affiliate of a large-scale solar power development project in Vietnam. We provided detailed and comprehensive Vietnam law advice and assistance in relation to all of the key legal aspects of this development project, including in relation to the key real estate and construction law aspects and the vast array of necessary State approvals, licences, and consents in relation.
