Phan Xuan Qui is the Head of Tax based in Frasers' Ho Chi Minh office. Qui has extensive experience in the area of direct and indirect tax advisory and compliance services including corporate income tax, personal income tax, value-added tax, import–export duties, and other international taxes.

Qui has 17 years of extensive international experience providing various tax-related advisory services to international and local investors in various industries while based in Vietnam, Singapore, and New Zealand.

Qui has been involved in managing and providing tax and legal structuring advice and compliance for hundreds of international investors having investments in Vietnam. He has also provided comprehensive tax due diligence services for several M&A projects in, among others, real estate, energy, logistics, consumer goods, e-commerce, banking, education, and healthcare, to international investors in Vietnam.

Prior to joining Frasers, Qui was previously an experienced Director – Deals, Tax, and Legal at one of the Big 4 Audit firms, and a Director of M&A at one of the largest listed real estate development and investment companies in Vietnam.

Qui earned his degree of Bachelor of Foreign Economy from the Ho Chi Minh City Foreign Trade University. Qui also earned a Bachelor of Laws from the Ho Chi Minh City University of Law in 2012. Qui has also completed the Lawyer Practicing Training Course at the Vietnam Judicial Academy – Ministry of Justice.

Qui is an associate member of Certified Practising Accountant Australia (CPA Australia). He is also holding the Tax Agent Certificate issued by the Vietnam General Department of Taxation. He is fluent in Vietnamese and English.

A sampling of recent matters that Qui has advised on includes:

  • Assisting with tax due diligence process for a large Korean corporation to acquire a majority of shares in a state-owned waste-water treatment company in Vietnam.
  • Assisting with tax due diligence process for a Japanese corporation to acquire a majority of shares in a Vietnam-based plastic packaging company.
  • Advising a Dutch corporation on the disposal of its investment/shareholding in a power plant in Vietnam.
  • Advising a large Canadian oil & gas corporation on the acquisition of assets of two oil blocks in Vietnam.
  • Advising a large Russian state-owned oil & gas corporation on the acquisition of assets of an oil block in Vietnam.
  • Advising several Singapore investors on the relevant process to claim tax exemption mechanism under the Double Tax Treaty signed between Singapore Government and Vietnam Government.
  • Advising a Thai corporation on the acquisition of a majority of shares in a renewable energy project in the south of Vietnam.
  • Advising a fertilizer manufacturing company in Vietnam on tax and accounting treatment for the purchasing of its raw materials and exportation of its finished goods as well as the VAT refund process with local tax authorities.
  • Advising a New Zealand–domiciled corporation on relevant legal and tax issues for investment in Vietnam (including but not limited to thin capital rule, capital gain tax, profit remittance, corporate structure, holding structure, tax incentive, accounting treatment of distribution contracts).
